Terms & Conditions
Last updated: October 19, 2026
1. Acceptance of Terms
By accessing or using Collably ("the Platform"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Platform.
2. The Platform
Collably is a marketplace connecting brands with UGC (user-generated content) creators based in Puerto Rico. We are not party to any contract between brands and creators; we facilitate discovery, communication, and payment via escrow.
3. Accounts
You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Creators warrant they are 18 or older and will not produce content depicting minors in any sexualized or otherwise restricted manner.
4. Payments, Escrow & Refunds
When a brand hires a creator, the brand is charged immediately for the creator's base fee plus a 15% platform commission. Funds are held in escrow by Collably (via Stripe) and are NOT released to the creator until one of the following occurs:
- The brand approves a submitted deliverable.
- 14 calendar days have passed after the creator submits a deliverable without the brand approving or requesting a revision (auto-release).
- An admin resolves a dispute and instructs a release.
Revisions: Each creator package includes a fixed number of revisions (default 2). Once exhausted, the brand must approve the work or open a dispute.
Brand cancellation: A brand may cancel a funded hire only before the creator submits any deliverable. Upon cancellation, the creator receives a 25% kill fee of the base amount, the platform retains the 15% commission and Stripe processing fees, and the remainder is refunded to the brand. Once a deliverable has been submitted, cancellation is no longer available — the parties must proceed via approval, revision, or dispute.
Disputes: Either party may open a dispute through the in-app form before funds are released. Funds remain frozen until a Collably admin reviews the case and issues a final, binding resolution that may transfer some or all of the base amount to the creator and/or refund some or all to the brand. The 15% platform commission is non-refundable.
Stripe Connected Account Agreement: Creators must complete Stripe Connect onboarding before they can be hired and, by doing so, agree to the Stripe Connected Account Agreement and the Stripe Services Agreement. Released funds typically reach the creator's bank account in 2–7 business days after release.
Taxes: Creators are independent contractors and are responsible for their own taxes. U.S. creators earning over $600/year via Collably will receive a 1099 tax form.
5. Pro Subscription
Collably offers an optional paid "Pro" subscription billed on a recurring monthly basis. By subscribing, you authorize Collably (via Stripe) to charge your payment method automatically each billing period until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period and Pro features remain active until then. Subscription fees are non-refundable for partial months. We may change Pro pricing or features with at least 30 days' notice.
6. Content & Licenses
Creators retain ownership of content they produce. Upon payment release, creators grant the brand the usage rights agreed to in the campaign. Creators warrant that their content is original and does not infringe third-party rights.
7. Reviews & Ratings
After a campaign completes, brands and creators may leave a 1–5 star review of each other. Reviews must be honest, based on a real working relationship, and free of harassment, defamation, or personal information. Reviews cannot be edited or removed by the reviewee. Collably may remove reviews that violate these Terms (fake, paid, retaliatory, abusive, or off-topic) at our sole discretion. Manipulating reviews — including buying, trading, or coercing them — is prohibited.
8. Off-Platform Communication & Circumvention
To protect the escrow system and both parties, all hiring discussions, payments, and deliverable exchanges between a brand and a creator who met on Collably must occur through the Platform for at least 12 months after first contact. Sharing personal contact information (email, phone, social handles, payment links) with the intent to move a transaction off-platform is prohibited and may result in account suspension and forfeiture of any funds in escrow.
9. Prohibited Conduct
- Circumventing Collably to avoid platform fees
- Posting illegal, misleading, or infringing content
- Harassment, hate speech, or abuse
- Manipulating reviews, ratings, or follower metrics
- Creating fake accounts or impersonating others
- Scraping, reverse engineering, or automated access without permission
10. Privacy & Data
We collect the information you provide (profile, content, messages) and basic usage data to operate the Platform. We use Stripe as our payments processor and Supabase as our database and authentication provider; both act as data processors on our behalf. We do not sell your personal data. You may request access, correction, or deletion of your data by emailing hello@collably.online. Where applicable, you have rights under the GDPR (EU) and CCPA (California).
11. Cookies & Analytics
Collably uses essential cookies to keep you signed in and remember your preferences, and may use analytics cookies to understand how the Platform is used. By using the Platform you consent to this use. You can disable non-essential cookies through your browser settings.
12. DMCA & Intellectual Property Complaints
If you believe content on Collably infringes your copyright, send a notice to hello@collably.online including: (a) identification of the work, (b) the URL of the infringing material, (c) your contact info, (d) a good-faith statement, and (e) a statement under penalty of perjury that you are authorized to act. We will remove valid claims and may terminate repeat infringers. Counter-notices may be submitted to the same address.
13. Account Suspension & Termination
We may suspend or terminate accounts that violate these Terms. You may close your account at any time. If your account is suspended while a hire is in escrow:
- If a creator is suspended for cause, escrowed funds may be refunded to the brand minus Stripe fees and the 15% commission.
- If a brand is suspended for cause, escrowed funds for already-submitted deliverables may be released to the creator.
- Collably retains discretion to resolve in-flight hires fairly based on the circumstances.
14. Modifications to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
15. Disclaimers & Liability
The Platform is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Collably is not liable for indirect, incidental, or consequential damages arising from your use of the Platform. Our aggregate liability for any claim is capped at the greater of (i) the fees you paid to Collably in the 6 months preceding the claim or (ii) US$100.
16. Force Majeure
Collably is not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, government action, labor disputes, power or internet outages, or third-party service failures (including Stripe or Supabase).
17. Arbitration & Class-Action Waiver
Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration seated in San Juan, Puerto Rico, in English or Spanish, under the rules of the American Arbitration Association. You and Collably each waive the right to a jury trial and the right to participate in a class action, class arbitration, or representative proceeding. This section does not prevent either party from seeking injunctive relief in court for intellectual-property or unauthorized-access claims.
18. Governing Law
These Terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict of law principles.
19. Instagram & Facebook Data
Creators: by connecting an Instagram account or Facebook Page, you authorize Collably to display its stats (followers, insights and audience demographics) to registered brands on Collably. You can revoke access at any time from Connected accounts, and the imported data is deleted.
Brands: you may only view creator data inside Collably to evaluate creators for campaigns. Scraping, screenshotting for resale, copying, exporting, or using creator data for any other purpose is prohibited and grounds for account termination.
